    Terms of Service

    Last updated: October 31, 2026

    Acceptance of Terms

These Terms of Service ("Terms") are a contract between you and Warley Digital LLC, Philadelphia, PA, which operates RedSquare ("RedSquare", "we", "us"). By accessing or using RedSquare, you agree to be bound by these Terms. If you do not agree, do not use the Services.

    Accounts and Eligibility

    • You must be at least 18 years old and capable of forming a binding contract.
    • You are responsible for maintaining the confidentiality of your account credentials.
    • You are responsible for all activity under your account.

    Sanctions

RedSquare is run by Warley Digital LLC, a United States company, and follows US sanctions law. You may not use RedSquare from, or place a screen in, Cuba, Iran, North Korea, Syria, Russia, Belarus or Venezuela; Crimea (including Sevastopol) or the Donetsk or Luhansk regions of Ukraine; or the Russian-occupied parts of the Zaporizhzhia and Kherson regions of Ukraine. Nor may you use RedSquare if you are named on a US government list of restricted parties, such as the Specially Designated Nationals List, or if you act for, or are owned by, someone who is. We apply these rules even where it is unclear whether a sanction applies. We may refuse, suspend or close an account, a screen or a booking to comply with them, and we may update this list as the law changes.

    Platform Use

    • Advertisers may upload content and schedule broadcasts on available screens.
    • Screen owners may list screens, set availability and pricing, and receive payouts.
    • We may suspend or terminate accounts for violations of these Terms or applicable law.

    Payments, Fees, and Refunds

While we launch, every booking is free and no payment is taken, so there is nothing to refund. When paid ad time opens, which we'll tell you by email at least 30 days before it does, payments go to the screen owner directly through our payment provider; RedSquare keeps a 40% platform fee from the screen time and passes payment processing through at cost. From then on, either side can call a booking off until the ad first plays: the advertiser is refunded in full, including payment processing. After the first play, a booking is not cancellable, but every play that did not run is refunded automatically, pro-rata, from the screen owner's share. A screen owner may also release the remaining hours of a booking that has started, which refunds those hours the same way.

While we grow the network, every booking is free and no payment is taken: nothing is charged to advertisers and nothing is paid out to screen owners. That free period has one purpose: to grow the network and test the whole system with real venues and advertisers before any booking is paid. The payment terms above apply once paid ad time opens: later, once we're confident everything works, payment processing included, and never with less than 30 days' notice. We'll tell you by email at least 30 days before paid ad time opens (or in the app, if you've turned off product emails), and you'll never be charged unless you book and pay for ad time yourself, or use House only on more than 10 screens (below).

House only and your own screens

House only, where a screen shows only its owner's own content, is free for the first 10 screens on an account. Each screen over 10 that is in House only costs $10 a month, counted by the hour and billed once a month. A screen showing ads costs nothing and does not count. The price is shown in the screen's own currency. Nothing is billed while every booking is free: the first charge comes only after paid ad time has opened, and we'll tell you by email at least 30 days before that. A screen in a currency we cannot take payment in is never billed and does not count towards the 10. If a bill is not paid, the screens over 10 go back to showing ads until it is.

One business may hold one account. If we find that one business uses several accounts to stay under the free House only screens, we may treat those accounts as one for House only pricing, bill the difference from when it began, and suspend House only on them until it is paid. We will tell you first and you can reply.

When you book an ad on your own screen, you pay only RedSquare's 40% platform fee on what the booking would cost at your screen's price, and nothing more. A screen priced free costs nothing to book. Until paid ad time has opened, which we'll tell you about by email at least 30 days before, a booking on your own screen is free like every other.

    Bringing in advertisers

A screen owner whose own link or QR code, including the QR code their screen shows, is used to create a new advertiser account earns a referral share: 5% of the screen-time price of that advertiser's paid bookings on any screen on RedSquare, for 12 months from that advertiser's first paid booking. RedSquare pays it out of its platform fee, so it changes neither the advertiser's price nor any screen owner's share. A share is earned only while the screen owner has payouts set up; a share earned without payouts set up is forfeited. Refunded screen time and bookings of the advertiser's own screen earn no share. Shares are paid after the booking's plays and any refunds are settled. RedSquare may change this programme for new referrals with at least 30 days' notice.

You may not refer yourself, a business you own or control, or another account you control, and you may not book your own screen through another account to pay less than the fee for booking your own screen. RedSquare may withhold or reverse referral shares and suspend the accounts involved.

    Content Standards

    • No illegal, infringing, hateful, harassing, or pornographic content.
    • No content that violates third-party rights, including IP and privacy rights.
    • No malware, spam, or deceptive practices.
    • Every ad gets an automatic check when it's uploaded. The screen owner approves what plays on their screen. RedSquare can remove any ad that breaks these standards.

    Screen Owner Obligations

    • Keep your screen's availability accurate: pause it, or mark the days and hours it is closed, whenever it will not be showing RedSquare.
    • Comply with local regulations and venue rules for public display.
    • Display booked content as scheduled unless force majeure or safety concerns apply.

    Screen Availability and Delivery

RedSquare is a marketplace that connects advertisers with independently owned screens. RedSquare does not own, operate or control any screen, and does not guarantee that a booked ad will play. Each screen owner decides whether and when their screen is available, and is responsible for keeping that availability accurate. A screen may be switched off, disconnected, or showing other content, such as a TV channel or a streaming app, at a booked time. Plays are counted from the screen's own record of what it played. An advertiser pays only for plays that ran: every play that did not run is refunded automatically, as described under Payments, and the screen owner earns nothing for it.

    Intellectual Property

Except for user content, all materials are owned by RedSquare or its licensors and protected by intellectual property laws. You may not copy, modify, or create derivative works without permission.

    Disclaimers and Limitation of Liability

The Services are provided "as is" without warranties of any kind. To the fullest extent permitted by law, RedSquare disclaims all implied warranties, and is not liable for indirect, incidental, or consequential damages. Our aggregate liability is limited to the amounts you paid to us in the 12 months preceding the claim.

    Indemnification

You agree to defend, indemnify, and hold harmless RedSquare and its affiliates from any claims arising from your use of the Services or violation of these Terms.

    Termination

We may suspend or terminate your access at any time for any reason. You may stop using the Services at any time. Some provisions survive termination (e.g., IP, disclaimers, limitations, indemnity).

    Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law rules. Any dispute arising from these Terms or the Services will be resolved in the state or federal courts located in Philadelphia County, Pennsylvania.
